Do-It-Yourself Steps to Incorporate at Cost

2. Contact CRA of America, Inc., and appoint it as agent to the corporation.

1) Complete and sign the Certificate of Acceptance of Appointment by Resident Agent (refer to Section 5).

2) Return the completed and notarized articles of incorporation (refer to Section 8).

3) Compete the incorporation order form (refer to Section 19).

3. Decide what number of total authorized shares will be available for use by the corporation. The number of shares can be increased at any time (refer to Section 6).

4. Decide whether the stock is to have a par value or not. Most newly formed corporations capitalize with no par value stock (refer to Section 6).

5. Decide who shall act as the first board of directors. Their name(s) and mailing address(es) must be included in the articles of incorporation (refer to Section 7).

6. Decide who will be incorporator(s). Their names and mailing addresses must be included in the articles. A minimum of one is required. If CRA does the incorporation, it will provide the incorporator.

7. Be sure that each copy of the articles of incorporation are signed by the director(s) and incorporator(s) prior to filing. Have each set notarized by a notary public. If CRA does the incorporation, it will provide the notarization.

8. Send CRA the original set of articles of incorporation along with extra copies for certification at the same time. The Certificate of Acceptance of Appointment by Resident Agent must be filed at the same time (refer to Section 5). Submit this completed and signed form to CRA with the articles of incorporation and payment for CRA's acceptance. CRA will send it to the state at the time of filing the articles.

9. Order a corporate outfit. Refer to Section 18 for the selections offered.

10. When the Secretary of State returns the certified articles of incorporation, a photocopy should go to CRA, and the certified copy should be maintained by the company's secretary (refer to Section 5).

11. Complete the Initial List of Officers, Directors, and Agent form and return it to CRA completed with the $125.00 filing fee (refer to Section 11).

12. Once the corporation is in possession of the corporate record book, keep it updated. This is very important!
