Initial List of Officers, Directors and Agent

After CRA of America, Inc. files your articles of incorporation, an Initial List of Officers, Directors and Agent form and the instruction sheet found on the following page will be returned to you. The instructions are easy to follow. Upon completing this form, please return it to CRA along with a cashier's check, or money order in the amount of $125.00 state filing fee. If filed past the first day of the second month of incorporation add the state's $75.00 late penalty fee. If a certified copy is desired, enclose an extra copy of this completed and signed form along with an additional $30.00. Make the check payable to the Secretary of State, and CRA will take care of the rest.

Prior to the corporation's anniversary date each year a similar form will be required to be completed and submitted along with the fee. This form is known as the Annual List of Officers, Directors and Agent form.

Instructions for Initial List of Officers, Directors, and Agent Form

Read Carefully Before Completing the Form

1. Attached are two documents. The first is a printout of the current information for your corporation on the Secretary of State's computer database. The second document is the form which you will need to complete, have signed by an officer and return along with the applicable fee.

2. The Secretary of State's office needs the following information typed or printed on the Initial List of Officers, Directors, and Agent form:

a) The file number for the corporation which is the first item listed on the printout directly after FILE TYP/NR. The file number should be typed or printed on the top right corner directly under the words, FILE NUMBER.

b) The name of the corporation as it appears on the articles of incorporation (which is provided on the printout). The name should be typed or printed after the arrow on the top left of the form but before INCORPORATION DATE.

c) The incorporation date which appears on the third line of the printout after the words, INC ON.

d) The state, territory, or country where the corporation is organized. Should be typed on the third line after the word, A, and before the word, CORPORATION.

e) The filing period (Mo./Yr. TO Mo./Yr.) which is the month and year of the incorporation TO the month and year 12 months from that date. Example, if the incorporation date was 1/12/96, the filing period is 1/96 TO 1/97.

f) The names and addresses of the Resident Agent, President, Secretary, Treasurer, and Directors in the boxes provided on the form.

g) The signature of an officer, including his/her title and date signed, on the bottom of the form.

Lastly, return this form to CRA of America, Inc., with the payment for the fees described on the form.
