Qualifying a Nevada Corporation to Do Business in Another State

A Nevada corporation that conducts business outside of Nevada might be required to qualify the corporation in the state(s) where it operates. It would be a foreign corporation to all states other than Nevada.

To avoid qualifying in another state, it is important to follow the steps outlined earlier in this report. If the corporation operates as a foreign corporation in another state without first qualifying, the officers and directors could be held personally liable, since the foreign corporation would not be entitled to use the out-of-state courts and technically would not exist in that state.
